- INTRODUCTION
These Referral Programme for Professionals for participation, Terms and Conditions (the “Agreement” or “Terms”), apply to all Professionals who provide professional services to users through Kara Connect’s (“Kara Connect”, “we”, “us”) services via our Wellbeing Hubs Program. Please read these Terms and Conditions carefully.
By checking the box in the Referral Partnership Form and submitting the form electronically, you acknowledge that you have read and understood these terms.
Any Referrals submitted through the Referral Form are bounded by the Terms and conditions for Referral Submissions.
Definitions:
- "Kara Connect" (“The Company”) refers to the company operating the referral program and providing wellbeing and mental health services through its platform.
- "Referrer" (“The Referrer”) means any partner, associate, professional, or advocate of Kara Connect who participates in the referral program by introducing potential clients to Kara Connect.
- "Referred Company" (“The Referred Company”) refers to the business entity introduced by the Referrer to Kara Connect, typically represented by an HR decision-maker or similar authority, who may benefit from a demonstration of Kara Connect's solutions.
WHEREAS:
- The Company operates a referral program for its services.
- The Referrer wishes to participate in this program.
IT IS AGREED AS FOLLOWS:
- Program Participation:
The Referrer agrees to participate in Kara Connect's Referral Program.
- Referral Process:
The Referrer will submit all referrals via the web form located here (https://karaconnect.com/referral-program).
- Eligibility:
1. Referrals must be B2B, and the Referrer must be independent of the Referred Company.
2. Companies with fewer than 50 employees are not eligible for the referral program scheme and benefits.
3. Referrals signing up for our Starter Hub Programme (Pay-as-you-go) are also not eligible under the Referral benefits, discounts, kickbacks or compensation.
- Payments:
- The Company will make a payment when a referred company becomes a client of Kara Connect. This is contingent on a minimum subscription period of 12 months, starting from the date of a signed order form between the Referred Company and Kara Connect. The payment will be made to the Referrer who introduced the client.
- All payments will be made to the Referrer's business bank account only.
- The Referral Payment will be processed to the Referrer's account one month after the Referred Company has paid their first invoice, which occurs on the "Subscription Start Date".
- Obligations:
5.1 Professional Obligations:
- If the Referrer is a Kara Connect Professional with access to their Company Referral's Wellbeing Hub, they must adhere to the agreed Professional Terms and Conditions for participating in the Wellbeing Hubs program.
5.2 Kara Connect Obligations:

Kara Connect commits to treating all referrals with the utmost care and preference.

We aim to contact referred clients within 24 hours of receiving the referral.

Referred clients will receive the highest level of service and support from our team.

We pledge to treat all referrals and referred clients with respect and professionalism.

Our goal is to ensure that referrers feel comfortable and at ease with our process, knowing that their referrals are in good hands.

We understand the importance of maintaining the referrer's credibility and will handle all interactions with referred clients accordingly.
- Intellectual property and Branding
6.1 Pre-existing Intellectual Property: Each Party's ownership of or any right, title or interest in any Intellectual Property Rights or items existing prior to this Agreement remains unaltered.
6.2 Kara Connect's Rights: Kara Connect retains all rights, title, and interest in the Services, including all related documentation, technology, code, know-how, graphics, user interfaces, logos, and trademarks. The Referrer acknowledges that rights to use the Service are licensed, not sold.
6.3 Service Updates: As an online, hosted product, Kara Connect has sole discretion to make updates, bug fixes, modifications, or improvements to the Service.
6.4 Use of Referrer's Brand: The Referrer agrees that Kara Connect may use the Referrer's name, introductory text, and logo on Kara Connect's websites, wellbeing hub, and corporate materials. This includes use in a general list of Kara Connect's partners and on promotional and marketing materials.
6.5 Referrer's Use of Kara Connect's Brand: The Referrer may use Kara Connect's name and logo solely for the purpose of promoting the referral program, in accordance with any brand guidelines provided by Kara Connect.
6.6 Limitations: The Referrer shall not attempt to register any trademarks, trade names, or domain names that are confusingly similar to Kara Connect's branding.
6.7 Termination: Upon termination of this Agreement, each party shall cease using the other party's branding materials, except as may be required for historical or archival purposes. - Enhanced Benefits for Referring Professionals:
Professionals in our network who participate in the referral program will be entitled to the following benefits:
- Priority Connection: Upon Successful Company Referrers, the Referrer (Professional) will receive first consideration for connection to the Wellbeing Hub of the company they referred to access all employees at Referred Company for one to one sessions.
- Non-Exclusive Service Provision: Referrers will be prioritized for connection to the Referred Company upon successful sign-up with Kara Connect. While other services and professionals will also be part of the Referred Company's Wellbeing Hub, Kara Connect reserves the right to connect any additional professionals or services required by the Referred Company.
- Kara Connect will provide you with resources to help you promote Kara Connect Services where required.
- Program Changes:
The Company reserves the right to change or withdraw the Referral Programme at any time.
- Termination:
- The Company may remove the Referrer from the program if they are deemed to be abusing it in any way.
- Either party may terminate this Agreement at any time with one (1) month’s notice without providing a reason, subject to any restrictions of this Agreement.
- Professionals terminating or closing their participation in the Kara Connect Wellbeing Hubs programme will, without exception, be removed from the Referral Programme.
- Should the Professional breach this Agreement materially, Kara Connect reserves the right to terminate the Agreement with immediate effect, call in all outstanding payments, close the Professional’s account immediately and block the Professional’s access without warning. A material breach includes but is not limited to, any breach of the Professional of its obligations subject to Section "Obligations of the Professional" of this Agreement.
- Dispute resolution, jurisdiction and choice of law
The parties agree to use their reasonable efforts to settle any dispute, claim, question or disagreement directly through amicable consultation, and good faith negotiations. Should reasonable efforts fail, disputes arising out of or in connection with this Agreement shall be brought to the District Court of Reykjavík, Iceland.
This Agreement is subject to and governed by the laws of Iceland.

- "Referrer" means any HR consultant, company, or other entity that participates in the referral program by introducing potential clients to Kara Connect.
- "Referred Company" refers to the business entity introduced by the Referrer to Kara Connect, typically represented by an HR decision-maker or similar authority, who may benefit from Kara Connect's solutions.
AGREEMENT:
Program Participation:The Referrer agrees to participate in Kara Connect's Referral Program.
Referral Process:
The Referrer will submit all referrals via the designated web form or other specified channels.
Eligibility:
1. Referrals must be B2B, and the Referrer must be independent of the Referred Company.
2. Companies with fewer than 50 employees are not eligible for the referral program scheme and benefits.
3. Referrals signing up for our Starter Hub Programme (Pay-as-you-go) are also not eligible under the Referral benefits, discounts, kickbacks or compensation.
Payments:
- Kara Connect will make a payment when a referred company becomes a client. This is contingent on a minimum subscription period, typically 12 months, starting from the date of a signed agreement between the Referred Company and Kara Connect.
- All payments will be made to the Referrer's designated business account.
- The Referral Payment will be processed one month after the Referred Company has paid their first invoice.
Intellectual property and Branding:

Referrer Obligations:
- Referrers must maintain professional conduct and accurately represent Kara Connect's services.
- Referrers are responsible for obtaining necessary permissions before sharing contact information of potential clients.
Kara Connect Obligations:
- Kara Connect commits to treating all referrals with the utmost care and preference.
- We aim to contact referred clients within 24 hours of receiving the referral.
- Referred clients will receive the highest level of service and support from our team.
- We pledge to treat all referrals and referred clients with respect and professionalism.
- Our goal is to ensure that referrers feel comfortable and at ease with our process, knowing that their referrals are in good hands.
- We understand the importance of maintaining the referrer's credibility and will handle all interactions with referred clients accordingly.
Program Benefits:
Referrers participating in the program may be entitled to:
- Priority access to Kara Connect's resources and support.
- Invitations to exclusive events and webinars.
- Regular updates on Kara Connect's services and innovations.
- Specific tailored discounts for Referrers based on referrals submitted.
Program Changes:
Kara Connect reserves the right to modify or terminate the Referral Programme at any time.
Termination:
- Kara Connect may remove a Referrer from the program if they are deemed to be misusing it.
- Either party may terminate this Agreement with one (1) month's notice.
- Kara Connect reserves the right to terminate the Agreement immediately in case of material breach by the Referrer.
Dispute Resolution:
Any disputes will be resolved through amicable consultation. If unsuccessful, disputes shall be brought to the District Court of Reykjavík, Iceland.
This Agreement is subject to and governed by the laws of Iceland.

1. The Kara Connect Referral Programme is open to partners, associates and advocates of Kara Connect.
2. All referrals must be completed via the web form located on the Kara Connect referrals program landing page https://karaconnect.com/referral-program
2.1 Eligibility
- Referrals must be B2B, and the Referrer must be independent of the Referred Company.
- Companies with fewer than 50 employees are not eligible for the referral program scheme and benefits.
- Referrals signing up for our Starter Hub Programme (Pay-as-you-go) are also not eligible under the Referral benefits, discounts, kickbacks or compensation.
3. Referrals are on a B2B basis with payment made into the business bank account of the Introducer only, with no exceptions. No referral fee will be paid to personal accounts.
4. To receive the “second” payment, the referred company must sign a standard agreement to use Kara Connect services.
5. The referred company must not already be discussing signing up to Kara Connect services via any other Kara Connect channels, via our Starter Hub Programme other Referral Partner, or be a current client.
6. The Introducer should be independent of the referred company (e.g. not a Director, owner or employee).
7. Referrals payments will be provided to the business bank account provided by the referrer who has completed the "The Referral " "Submit Referral" included in the program landing page.
8. Kara Connect reserves the right to cancel and/or revoke referred services if we uncover or suspect your referral submission(s) to be fraudulent and/or abusive to the nature of the Kara Connect Referral Programme.
9. All calls may be recorded and/or monitored.
10 .This promotion cannot be used in conjunction with any other offer.
11. The Kara Connect Referral Programme may change or be withdrawn at any time at the discretion of Kara Connect.
12. Any user deemed to be abusing the program in any way, will be notified and removed from the program.
13. If you are a Professional of Kara Connect, you'll have direct access to the Wellbeing Hub of your Referral. This connection allows all employees at that organization to access 101 sessions with you directly. In this case, you agree to abide by the Professional Terms and Conditions as a participant in our Wellbeing Hubs program.
